Terms of Service

These are the terms that govern how we work together. We have written them in plain language β€” no confusing legal jargon β€” so you know exactly what to expect when you work with PIC.

These Terms of Service apply to all services provided by Promise Is Creative Marketing Services, trading as PIC Marketing Services β€” including our agency services, our PIC Systems subscription product, and any consulting or strategy work we carry out. By engaging our services or using our website, you agree to be bound by these terms. Please read them carefully β€” we have made them as clear and straightforward as possible.

The Agreement

When you engage PIC Marketing Services β€” whether by signing a proposal, making a payment, or beginning an onboarding process β€” you are entering into an agreement with Promise Is Creative Marketing Services (hereinafter referred to as "PIC", "we", "us", or "our").

The person or business engaging our services is referred to as "you", "the client", or "your brand" throughout these terms.

These terms, along with any specific proposal or service agreement we share with you, form the complete understanding between us. If anything in a specific proposal conflicts with these general terms, the proposal takes precedence for that engagement.

In plain terms: When you pay us or start onboarding, we are in business together. These are the rules that keep that relationship clear and fair for both sides.

Our Services

PIC Marketing Services provides digital marketing services to ecommerce brands and businesses. Our core service areas include:

  • Paid advertising management β€” Meta (Facebook and Instagram), Google Ads, and TikTok Ads
  • Website design and sales funnel engineering
  • Brand strategy and identity development
  • Content strategy and social media management
  • Marketing automation β€” CRM setup, email sequences, AI chatbots, WhatsApp broadcasts
  • Email and SMS marketing
  • Marketing consulting and strategy sessions
  • PIC Systems β€” our productized marketing subscription (see Section 03)

The specific services, deliverables, and timelines for your engagement are outlined in your proposal or onboarding documentation. We do not begin work until we have received a confirmed agreement and the applicable payment.

PIC Systems β€” Subscription Terms

PIC Systems is our productized marketing subscription. It operates on a monthly rolling basis with three tiers: Starter, Growth, and Scale. The following specific terms apply to PIC Systems subscribers:

BillingSubscriptions are billed monthly in advance on your start date. Your access and service delivery continue as long as payments are up to date.
Contract lengthMonth to month. No minimum contract. You can cancel at any time with 14 days written notice before your next billing date.
UpgradingYou can upgrade your plan at any time. The new rate applies from your next billing cycle.
DowngradingYou can downgrade with 14 days notice. The lower tier applies from your next billing cycle. Note that deliverables will be adjusted to match the new tier.
RefundsDue to the nature of the work involved, we do not offer refunds on subscription fees once a billing period has started. If you cancel mid-month, your service continues until the end of that billing period.
Ad spendThe subscription fee covers our team and their work. Ad spend on Meta, Google, or other platforms is separate and paid directly by you or through an agreed arrangement.
In plain terms: You pay monthly, you can leave anytime with 14 days notice, and your ad budget is separate from our fee. No hidden costs.

Payment Terms

All fees are quoted and billed in Nigerian Naira (NGN) unless otherwise agreed in writing. For international clients, we will agree a currency and rate at the start of the engagement.

  • Project-based work: A deposit of 50% is required before work begins. The remaining 50% is due upon completion and before final delivery of files or assets.
  • PIC Systems subscriptions: Full monthly fee is due before the subscription period begins.
  • Retainer arrangements: Monthly retainer fees are due on the first of each month or as agreed in the engagement letter.
  • Late payments: If a payment is more than 14 days overdue, we reserve the right to pause work until the outstanding balance is cleared.
  • Suspension: If payment remains outstanding after 30 days, we may suspend the engagement entirely and retain any work completed until payment is received.

Payments are accepted via bank transfer or Paystack. Payment details will be provided on your invoice.

Client Responsibilities

We can only do great work if you give us what we need to do it. By working with us, you agree to:

  • Provide accurate and complete information about your brand, products, audience, and goals during onboarding
  • Grant us access to the platforms we need β€” Meta Business Manager, Google Ads, your website β€” in a timely manner
  • Respond to requests for feedback, approvals, or additional information within 3 business days
  • Ensure that all products, services, and business activities being marketed comply with applicable laws and platform policies
  • Not share your platform access credentials with us in an insecure manner β€” we will advise you on the correct and safe way to grant access
  • Inform us promptly of any changes to your business, products, pricing, or goals that may affect the marketing strategy
  • Make payment on time in accordance with the agreed schedule
Important: Delays caused by the client β€” late approvals, missing assets, slow responses β€” do not extend our delivery timelines automatically. If delays significantly impact the work, we will discuss revised timelines together.

Our Responsibilities

In return, here is what you can expect from PIC at all times:

  • Deliver all agreed services to the standard and within the timelines outlined in your proposal or onboarding documentation
  • Communicate clearly and promptly β€” responding to messages within the SLA agreed for your plan or engagement
  • Manage your ad budgets responsibly and transparently β€” we will never spend beyond what is agreed without prior approval
  • Provide honest monthly reports with real numbers β€” we will never inflate results or hide poor performance
  • Keep your business information, campaign data, and results confidential
  • Inform you promptly of any issues, platform changes, or challenges that may affect your results
  • Act in your brand's best interest at all times β€” not in the interest of increasing our own fees

Intellectual Property

Work we create for you: All creative work, copy, designs, funnels, and campaign assets produced specifically for your brand become your property upon receipt of full payment. You are free to use, adapt, or repurpose them as you see fit.

Our internal systems and processes: The tools, frameworks, templates, SOPs, and internal methodologies we use to deliver our services remain the intellectual property of PIC Marketing Services. You do not acquire rights to these by engaging us.

Third-party assets: Where we use licensed fonts, stock images, or third-party tools in your work, the licenses for those assets belong to the respective owners. We will inform you of any such usage.

Your existing assets: Any logos, brand materials, product images, or content you provide to us remain entirely your property. We will only use them for the purpose of delivering your services.

Confidentiality

We treat your business information as strictly confidential. This includes your revenue figures, campaign performance, strategy, product pricing, customer data, and anything else shared with us in the course of our work together.

  • We will not share your confidential information with any third party without your explicit written consent
  • We will not use your campaign data, results, or strategy to benefit any competing brand
  • Team members who work on your account are bound by confidentiality obligations
  • We may reference the nature of our work together (e.g. "we work with fashion brands") for general marketing purposes, but will never disclose specific numbers or strategies without permission
Case studies and testimonials: We may ask for your permission to share results as a case study on our website or in proposals. We will always ask first and never publish anything without your explicit written approval.

Results and Expectations

We work hard to deliver results β€” and we are proud of the outcomes we have achieved for clients. However, marketing results depend on many factors outside our control, including market conditions, product quality, pricing, audience behaviour, and platform algorithm changes.

What we guarantee: We guarantee that the work will be done β€” funnels will be built, campaigns will be set up and managed, automations will be configured, and reports will be delivered on time. We guarantee our effort, our expertise, and our commitment.

What we cannot guarantee: Specific revenue targets, ROAS figures, or conversion rates. Any projections we share are based on experience and data β€” they are informed estimates, not guarantees.

If results are consistently below expectations, we will have an honest conversation with you about why, what needs to change, and whether the engagement should continue.

Ending the Engagement

By you: You may end any ongoing engagement or PIC Systems subscription with 14 days written notice (email to info@picmarketingservices.com). Any work completed up to the notice period is billable. For subscriptions, your service continues until the end of the current billing period.

By us: We reserve the right to end an engagement if:

  • Payment is more than 30 days overdue and has not been resolved after notice
  • The client's business or marketing activities breach platform policies, applicable law, or ethical standards we are not willing to be associated with
  • The client relationship has broken down to a point where effective collaboration is no longer possible

Upon termination: We will hand over all completed work, campaign data, and access credentials within 5 business days of the engagement ending. We will remove our team from your ad accounts and platforms promptly.

Limitation of Liability

To the maximum extent permitted by applicable law, PIC Marketing Services' liability to you for any claim arising from our services is limited to the total fees paid by you for the relevant service in the 3 months preceding the claim.

We are not liable for:

  • Lost revenue, lost profits, or lost business opportunities that may result from our marketing activities
  • Actions taken by third-party platforms (Meta, Google, etc.) such as account suspensions, policy changes, or algorithm updates that affect campaign performance
  • Indirect, consequential, or incidental losses of any kind
  • Losses resulting from information or assets you provided to us that were inaccurate, incomplete, or in breach of third-party rights
In plain terms: We take responsibility for the quality of our work and our team's conduct. We are not responsible for things outside our control β€” platform changes, market conditions, or decisions you make independently.

Resolving Disputes

If something goes wrong, we want to fix it β€” not fight about it. Here is how we handle disagreements:

  • Step 1 β€” Talk to us: Raise the issue directly with your account manager or email info@picmarketingservices.com. Most issues are resolved quickly with an honest conversation.
  • Step 2 β€” Escalate internally: If the issue is not resolved within 5 business days, it is escalated to the Founder (Promise Ikechukwu) for a direct resolution discussion.
  • Step 3 β€” Formal resolution: If the matter cannot be resolved informally, it will be settled under the laws of the Federal Republic of Nigeria, in the courts of Lagos State.

We are committed to resolving disputes fairly and without unnecessary drama. We value every client relationship and will always try to find a reasonable solution first.

Changes to These Terms

We may update these Terms of Service from time to time as our services evolve or legal requirements change. When we make significant changes, we will:

  • Update the "last updated" date at the top of this page
  • Notify active clients by email at least 14 days before the new terms take effect
  • Provide a summary of what has changed and why

Continuing to use our services after the effective date of any changes means you accept the updated terms. If you do not agree with a change, you are entitled to end your engagement with us before the new terms take effect.
